Dispute concerning validity of a Shareholders‘ Agreement

Our team successfully represented the client (shareholder) in a dispute concerning the validity of a Shareholders‘ Agreement. The court agreed with all our arguments, rejected the opponents’ claims, and ruled that even if the opponents’ claims were satisfied, the court would declare invalid only the separate provisions of the Shareholders‘ Agreement, not the Shareholders‘ Agreement in its entirety.

In rejecting the opponents’ claims, the Court emphasised that the opponents “by virtue of their claims did not intend to defend any violated rights, but rather improperly, by abusing their procedural rights, sought to avoid performance of their obligations assumed under the Shareholders’ Agreement; therefore it must be concluded that there are neither legal nor factual  grounds for declaring the Shareholders‘ Agreement invalid”.
